TERMS AND CONDITIONS Submitter agrees that any and all ideas, concepts, know-how, inventions, technologies, patents, patent applications, and associated materials (collectively referred to as the “Submission”) that Submitter submits to WMS shall be governed by these Terms and Conditions. Submitter understands that Submitter must file for patent protection before disclosing the Submission to anyone (including WMS or any other party) on a non-confidential basis or else risk losing the ability to protect such Submission with patent rights under applicable law. Submitter agrees that the Submission will not be considered or treated by WMS as a “trade secret” or as “confidential” unless the disclosure is covered by a separate formal, written confidentiality agreement signed by WMS prior to the time the information is disclosed to WMS. Submitter warrants and represents that Submitter is the sole owner, or authorized representative of the sole owner, of the entire right, title, and interest in the Submission and that Submitter has the full and exclusive right to disclose such Submission to WMS. Submitter agrees that (i) Submitter is not submitting the Submission to WMS in confidence, (ii) Submitter does not have any expectation that the Submission will be held in confidence, (iii) WMS does not need to keep the Submission confidential, and (iv) WMS may disclose the Submission for any purpose to employees, consultants, third parties or any other persons it sees fit. Submitter acknowledges that the Submission and its consideration by WMS create no confidential, fiduciary, or other relationships, express or implied, between Submitter and WMS. WMS will give the Submission such consideration, if any, as WMS, in its sole and absolute discretion, believes that it deserves. Submitter further agrees that WMS shall not be obligated to provide Submitter with any information whatsoever concerning the nature, extent, or results of WMS’ evaluation of the Submission. WMS shall not be responsible for any lost or discarded materials included with the Submission, and WMS shall have no obligation to return the Submission to Submitter. Submitter agrees that submitting the Submission to WMS does not create an obligation for WMS to view or review the Submission, and that providing the Submission is not evidence of WMS’s receipt of the Submission, nor does it create a presumption that WMS has seen or reviewed the Submission. If WMS chooses to do so, it may seek a formal written agreement with Submitter relating to the Submission and the written agreement may provide for the payment of compensation to Submitter. However, Submitter agrees that WMS will be under no obligation of any kind with respect to this Submission unless and until it enters into such a written agreement and then only according to the terms of that agreement. Submitter agrees that neither the consideration of the Submission, nor any discussions WMS may have concerning the Submission, shall be construed in any way that is prejudicial to WMS. Submitter expressly recognizes and agrees that neither this Agreement nor the Submission shall be construed as creating any obligation on the part of WMS to retain Submitter’s services, to license or purchase the Submission, or to compensate Submitter in any manner, except as may otherwise be set forth in a separate subsequent written agreement. Solely by submitting the Submission, Submitter is not transferring any commercial rights in the Submission to WMS. However, Submitter understands that that its exclusive rights and remedies relating to the Submission, or the use of such Submission by WMS, shall be limited to such rights and remedies, if any, as may be accorded to Submitter under the Patent Laws of the United States. Submitter also agrees that WMS shall at all times preserve and maintain all of its remedies and defenses under the United States Patent and other state and federal laws , including the right to contest the validity of any such patent, or any alleged infringement, as if WMS had never received the Submission from Submitter. Submitter expressly understands and agrees that WMS both develops its own ideas and concepts and also receives submissions of ideas and concepts for games and products from numerous third parties. Submitter’s ideas and concepts may appear similar to ideas that WMS develops independently or otherwise receives, licenses, or purchases from third parties. Submitter agrees that any similarities between the ideas and concepts that Submitter submits and those developed by WMS or those licensed, purchased, or received by WMS from third parties, whether or not said similarities are coincidental, shall not give rise to any claims related to or arising out of such similarities, including but not limited to claims for copyright, trademark and/or trade secret infringement or idea misappropriation. Submitter agrees that WMS’ consideration of the Submission in no way limits or restricts WMS from using any ideas or concepts developed independently by WMS, using concepts or ideas submitted from third parties or licensing ideas or concepts from third parties, prior to, during, or after receiving Submitter’s Submission. Submitter and WMS expressly agree that Submitter’s delivery and WMS’ receipt of the Submission is adequate consideration for these Terms and Conditions. Only persons eighteen (18) years or older may make a Submission. By agreeing to these Terms and Conditions, Submitter warrants and represents that Submitter is 18 years or older. Submitter agrees that there are no other statements or agreements, oral or written, made prior to or at the signing hereof, that apply to the Submission, that these Terms and Conditions supersede any prior agreements or understandings, and that no modifications or exceptions to these Terms and Conditions will apply unless agreed to by both Submitter and WMS in a separate written agreement. These Terms and Conditions and any Submission made pursuant to this website will be governed, interpreted and construed under the laws of the United States and the State of Illinois without regard to its conflict of law principles. Both Submitter and WMS agree that the any dispute or litigation arising hereunder or related to the subject matter hereof or related to any Submission made hereunder shall be submitted exclusively to the jurisdiction of the state and/or federal courts physically located in Cook County, Illinois, and Submitter hereby agrees to personal jurisdiction in said courts. In the event that any provision of these Terms and Conditions, including any sentence, clause or part hereof, shall be deemed contrary to law or invalid or unenforceable in any respect by a court of competent jurisdiction, the remaining provisions shall not be affected, but shall, to the maximum extent permissible in law, remain in full force and effect and any invalid and unenforceable provisions shall be deemed, without further action on the part of the parties hereto, modified, amended and limited to the minimum extent necessary to render the same as valid and enforceable.
